Energy Transactions
Our energy group represents a variety of energy companies in their efforts to purchase or sell assets. Sample clients range from small-to-large energy companies with years in the industry to new companies that have obtained private equity or bank financing. Transactions include both publicly-bid and privately negotiated sales. Working in tandem with our business lawyers, we assist clients in forming special-purpose purchasing entities and with sales funded by multiple purchasers under private placements. When representing buyers, we are well-suited (through our title attorneys) to assist with due diligence.
Legal Services
- Counseling clients in the early stages of purchase and sale efforts
- Assisting in the negotiation of term sheets and purchase and sale agreements
- Representing clients throughout the sales process, including both closing and post-closing assistance
- Drafting term sheets, purchase and sale agreements and related exhibits and closing documents
- Coordinating, conducting and/or overseeing title, contract and environmental diligence efforts for buyers, including assistance in defect curative efforts
- Preparing Limited Acquisition Title Opinions covering assets in multiple states
- Advising clients in wind, solar and other alternative energy projects and preparing related contracts
- Reviewing, advising and editing banking and lending documents
